Unicorn Data: Terms of Service and Data License

1. Who we are

Unicorn Data (data.unicorn-club.com) is a service of Unicorn Private LLC, a limited liability company organized in the United States ("we", "us"). These terms govern access to the Unicorn Data API, widget, webhooks, daily files and website (the "Service") by the customer that creates an account (the "Customer", "you"). By starting a trial or a paid plan you accept these terms on behalf of yourself and of the organization you represent.

2. The data

The Service provides information about private companies and initial public offerings: reported valuations, funding rounds, secondary prices reported by public sources, filings with the U.S. Securities and Exchange Commission, IPO stages and dates, lock-up dates and aggregate statistics of forecasts made by users of Unicorn Watch (the "Data").

The Data is compiled from public sources (company announcements, SEC EDGAR, press reports). Each figure carries its date and a reference to its source. Reported valuations are figures from the latest funding round, press estimates or indicative secondary prices: they are not market prices and may be inaccurate, incomplete or out of date. Community forecasts are aggregate statistics of opinions; individual forecasts are never provided.

3. No advice

The Data is information only. Nothing in the Service is investment, legal, tax or accounting advice, a recommendation or an offer to buy or sell any security, or a solicitation of any kind. We do not act as broker, dealer, investment adviser or placement agent. You are solely responsible for any decision you make and for how you present the Data to your own users. Investing involves the risk of losing capital.

4. No warranty

The Service and the Data are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non infringement. We do not guarantee that the Service will be uninterrupted or error free. Status information is published at data.unicorn-club.com/status.

Disclaimer. Information is provided for informational purposes only, as is, based on public sources as of the date shown. Unicorn Private LLC assumes no legal responsibility for the accuracy, completeness or timeliness of the information.

5. Plans, trial, billing

Plans, prices and included calls are those shown on the pricing page at the time of purchase. Payments are processed by Stripe; invoices are issued automatically. Paid plans renew automatically each month or year until cancelled. A new account may start a 14-day trial with a payment card: if the plan is not cancelled before the end of the trial, the first payment is charged at the end of the trial. You can change plan, update your card, download invoices and cancel at any time from the billing portal in the dashboard; cancellation takes effect at the end of the paid period. Fees already paid are not refunded, except where the law requires it. Prices exclude taxes that may apply. We may change prices for future periods with at least 30 days' notice through the dashboard or by email.

6. Accounts and keys

You must provide a valid email address and keep your API keys, webhook secrets and dashboard access confidential. You are responsible for all use made with your keys. Keys must not be placed in public web pages; the widget uses a separate public key that you can restrict to your domains. We may suspend keys that are used abusively or that put the Service at risk.

7. Data license

Subject to these terms and to payment, we grant you a non exclusive, non transferable, non sublicensable (except as stated below) license during the subscription to access the Data through the Service and to use it as follows.

• Widget plan: display the Data only through the Unicorn Data widget on websites and apps that you operate, with the attribution "Data: Unicorn Watch" and its link visible and unaltered.
• Pro plan: use the Data in your own products, websites, newsletters, research and internal tools, and display it to your end users, with the attribution "Data: Unicorn Watch" (with a link to watch.unicorn-club.com where technically possible) near the Data.
• Business plan: everything in Pro, plus redistribution of the Data inside the apps and products of your own customers (for example a white label app you build for a broker), provided that the attribution "Data: Unicorn Watch" stays visible to end users and that your customers receive no right to extract and resell the Data as a dataset.

In all plans you may not: (a) resell, rent or publish the Data as a standalone dataset, feed or API; (b) use the Data to build a product that substitutes the Service; (c) remove dates, sources or the statement that valuations are reported figures and not market prices when you display valuations; (d) present the Data as investment advice or as an offer of securities; (e) use the Data in breach of law, including securities laws; (f) circumvent quotas, keys or technical limits, or scrape the website. Short excerpts quoted with attribution in articles and posts are allowed in all plans.

When the subscription ends, the license ends: you must stop new use of the Data and may keep Data already published in articles, reports and newsletters before that date. Business customers must remove the Data from their customers' apps within 30 days.

8. Acceptable use

Do not overload the Service, test its security without written consent, send harmful content to it, or use it to infringe the rights of others. Webhook endpoints must be HTTPS URLs that you control.

9. Intellectual property

The selection, arrangement and compilation of the Data, the software, the widget and the brands Unicorn Data, Unicorn Watch, Unicorn Club and Unicorn Private belong to Unicorn Private LLC. Underlying facts and public documents remain public; links to third party sources lead to content owned by those third parties.

10. Liability

To the fullest extent permitted by law, Unicorn Private LLC is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data or business interruption, or for any loss arising from decisions based on the Data. Our total liability for any claim relating to the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim.

11. Indemnity

You will indemnify Unicorn Private LLC against third party claims arising from your use of the Data in breach of these terms or of the law, including the way you present the Data to your users.

12. Suspension and termination

We may suspend or end access in case of non payment, breach of these terms or risk to the Service, with notice where reasonable. You may close your account at any time by cancelling the plan.

13. Privacy

Personal data of customers (email, billing details processed by Stripe, usage counters) is handled according to the privacy policy at unicornprivate.com/privacy. The Data provided by the Service contains no personal data of Unicorn Watch users.

14. Changes

We may update these terms. The current version and its date are published at data.unicorn-club.com/terms. Material changes apply from the next billing period after notice.

15. Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules, unless mandatory consumer law of your country applies. The courts located in Delaware have jurisdiction, except where the law provides otherwise.
